Brief Historical Background

SBIML is a public company incorporated in Mauritius as a subsidiary of State Bank of India. SBIML was originally incorporated in 1989 as State Bank International Ltd., a joint venture between SBI and State Bank of Mauritius Ltd. (SBM), with equity participation by State Investment Corporation. The name was changed to SBI International (Mauritius) Ltd. (SBIIML) after SBM sold its entire stake to State Bank of India. Indian Ocean International Bank Ltd. (IOIB), a local Bank, was established in 1978 and was active in the domestic sector in Mauritius with 11 fully-integrated branches across the major cities and towns. In April 2005, SBI acquired 51% stake of Indian Ocean International Bank Ltd. (IOIB). Three years later, both the subsidiaries (IOIB and SBIIML) of SBI in Mauritius were merged to form SBIML on 25th October, 2008.

Brief Historical Background

The bank was initially established as a Pasar Bank in the year 1970 and was known as Bank PasarGunungTampomas Jaya. In 1986, Bank PasarGunungTampomas Jaya was taken over by PT Ravindo Jaya Group and Mr. Ishwar T Daryanani. Brief Historical Background: Bank of Bhutan Ltd. was incorporated by Royal Charter, 1968 and is now incorporated under the Companies Act of Kingdom of Bhutan 2000 and the Financial Services Act of Kingdom of Bhutan, 2011. Bank of Bhutan was established as the public sector commercial bank and until the establishment of the Royal Monetary Authority of Bhutan; it rendered the functions of the Central Bank in Bhutan.

Brief on Corporate Governance

Since its inception, the BoBL was managed by the Managing Director and senior officials on deputation from the State Bank of India (SBI). Therefore, the Corporate Governance was having direct link with the SBI and Reserve Bank of India (RBI). With the establishment of the Royal Monetary Authority of Bhutan (RMA) in 1982 , the Corporate Governance of BoBL was brought under the purview of the RMA. The Corporate Governance structure has further strengthened with the promulgation of the Companies Act of Bhutan in 1990 and subsequently amended in 2000 and the Financial Institution Act of Kingdom of Bhutan in 1992. The Druk Holding & Investments (DHI) have come into existence as a 100% holding company of Royal Govt. of Bhutan. Royal Govt. of Bhutan had transferred its entire shareholding in BoBL to DHI. Accordingly, the present shareholding structure of BoBL has changed with DHI & SBI holding 80% & 20% respectively. With DHI, a professional body, becoming the majority shareholder of BoBL, the Corporate Governance structure of BoBL has been strengthened further.
